Welcome to Vidan Medical Staffing ("Vidan," "we," "us," or "our"). These Terms & Conditions govern your access to and use of our website, mobile application, and staffing platform (collectively, the "Platform").
By accessing, registering, or using the Platform, you confirm that you have read, understood, and agreed to be bound by these Terms & Conditions. If you do not agree, you must not use the Platform.
These Terms apply to all users, including healthcare professionals, contractors, employees, and employer representatives.
2. Scope of Services
Vidan Medical Staffing operates exclusively within Canada.
At its current MVP stage:
- Vidan does not operate as an open job marketplace
- Healthcare professionals are not matched directly to employers by themselves
- All placements and deployments are managed internally by Vidan
- We receive staffing requests from healthcare organizations and assign suitable professionals through our internal processes
Vidan may engage professionals as:
- Employees, or
- Independent contractors, depending on role, location, and applicable law.
Nothing on the Platform constitutes an offer of permanent employment or guaranteed work.
3. Eligibility
To register or remain active on the Platform, you must:
- Be legally authorized to work in Canada without employer restrictions
- Hold valid credentials relevant to your profession
- Provide accurate, truthful, and up-to-date information
Vidan reserves the right to approve, suspend, or reject any account at its sole discretion.
4. No Guarantee of Work
Registration on the Platform:
- Does not guarantee placement, shifts, income, or continued engagement
- Does not create an employer-employee relationship unless expressly stated in writing
- Is subject to operational needs, credential verification, compliance, and client demand
5. Platform License
Vidan grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform solely for lawful purposes related to staffing engagement.
You may not:
- Copy, resell, sublicense, or commercially exploit the Platform
- Reverse engineer, decompile, or modify any part of the Platform
- Use the Platform for fraudulent, misleading, or unauthorized purposes
6. User Responsibilities
You agree to:
- Maintain confidentiality of your login credentials
- Immediately notify Vidan of unauthorized access
- Comply with all applicable Canadian laws, professional regulations, and facility policies
- Maintain professional conduct during all deployments
Failure to comply may result in suspension or termination without notice.
7. Credentialing & Compliance
Vidan may verify:
- Licensure
- Certifications
- Background checks
- Work eligibility
- Professional references
You acknowledge that:
- Verification timelines may vary
- Vidan is not responsible for delays caused by third-party verification bodies
- Inaccurate or misleading information may result in immediate termination
8. Payments & Payroll
Where applicable:
- Payment terms, rates, and schedules are determined by written agreements
- Payroll processing timelines may vary
- Vidan is not liable for delays caused by banking institutions, statutory deductions, or compliance checks
9. Feedback & Submissions
Any feedback, suggestions, or ideas you provide voluntarily become the property of Vidan Medical Staffing.
We may use such submissions without obligation, compensation, or attribution.
10. Third-Party Services
The Platform may include links or integrations with third-party services.
Vidan:
- Does not control third-party platforms
- Is not responsible for their content, accuracy, or practices
- Is not liable for any losses arising from third-party use
Use of third-party services is at your own risk.
11. Intellectual Property
All Platform content—including software, branding, text, graphics, workflows, and design—is the exclusive property of Vidan Medical Staffing or its licensors.
Unauthorized reproduction, modification, or distribution is strictly prohibited.
12. Suspension & Termination
Vidan may suspend or terminate your account:
- For violation of these Terms
- For regulatory or compliance reasons
- At its discretion, with or without notice
Upon termination:
- Access to the Platform ceases immediately
- Any outstanding obligations remain enforceable
13. Disclaimer
The Platform and services are provided "as is" and "as available."
Vidan makes no warranties regarding:
- Availability of work
- Accuracy of third-party content
- Platform uptime
- Suitability for specific purposes
14. Limitation of Liability
To the maximum extent permitted by Canadian law:
- Vidan shall not be liable for indirect, incidental, or consequential damages
- Liability shall not exceed amounts paid to you by Vidan within the previous six (6) months
15. Indemnification
You agree to indemnify and hold harmless Vidan Medical Staffing from any claims arising from:
- Your misuse of the Platform
- Breach of these Terms
- Violation of law or professional standards
16. Governing Law
These Terms are governed by the laws of Canada and the applicable provincial laws where services are delivered.

Vidan may update these Terms at any time. Continued use of the Platform after updates constitutes acceptance of the revised Terms.
